SECTION 1 – OVERVIEW & SHOPIFY PLATFORM

This website is owned by AMORAKI (operating the store Moments by Amoraki, referred to as "we", "us", “store” or "our"), having its principal business address at Gaur Grandeur, Sector 119, Noida, Uttar Pradesh, India. Throughout the site, the terms "we", "us", and "our" refer to AMORAKI.

Our store is hosted on Shopify Inc., which provides us with the online e-commerce platform to sell our products (including our debut collection, Moment of Care, and subsequent collection releases) and services to you.

By visiting our site or purchasing from us, you engage in our "Service" and agree to be bound by the following Terms of Service ("Terms"), including all additional policies referenced herein.

SECTION 2 – SERVICE SCOPE & GEOGRAPHIC RESTRICTIONS

  • India Operations: AMORAKI operates and fulfills orders exclusively within India. We do not accept orders or ship to delivery addresses outside this country for now. Initial operations will begin from Delhi NCR, more regions to follow.

  • Personal & Non-Commercial Use: Products purchased from AMORAKI are strictly for personal, non-commercial personal use. You agree not to purchase products for commercial resale, distribution, or export.

SECTION 3 - OUR PRODUCTS

We have made every effort to provide an accurate representation of our products and services in our online stores. However, please note that colors or product appearance may differ from how they may appear on your screen due to the type of device you use to access the store and your device settings and configuration.

We do not warrant that the appearance or quality of any products or services purchased by you will meet your expectations or be the same as depicted or rendered in our online stores.

All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis. 

SECTION 4 – ACCURACY OF ACCOUNT & BILLING INFORMATION

  • By placing an order, you represent that you are at least the age of majority in your state or country of residence.

  • You agree to provide current, complete, and accurate purchase, delivery, and account information for all orders placed on our store.

  • You are responsible for maintaining the confidentiality of your account details and password.

SECTION 5 – ORDER ACCEPTANCE & PRICING

  • Offer to Purchase: Placing an order on our store constitutes an offer to purchase. AMORAKI reserves the right to accept or decline your order for any reason at its sole discretion (e.g., stock unavailability, payment failure, or suspected fraud).

  • Payment Gateway: All payments are processed securely via Razorpay. Your order is only confirmed once payment is successfully authorized by Razorpay.

  • Price Changes: Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue any product or collection without liability.

SECTION 6 – STRICT NO-REFUND & NO-CANCELLATION POLICY

  • Final Sale: All purchases made via this store are final. We maintain a strict No Refund and No Cancellation Policy once an order has been successfully placed and processed.

  • No Cash Refunds/Exchanges: We do not offer cash refunds, store credits, or product exchanges.

  • Damaged or Defective Items: In the rare event that an item arrives damaged or defective, you must notify us within 24 hours of delivery by emailing hello@momentsbyamoraki.com with unboxing photos/videos for investigation.

SECTION 7 – DELIVERY TIMELINES & ADDRESS MODIFICATION

  • Delivery Window: Standard delivery across Delhi NCR will be fulfilled within 2 to 3 business days from the date of order confirmation.

  • Updating Shipping Address: If you need to modify your delivery address after placing an order, you must send a request prior to dispatch exclusively through our official WhatsApp support line (hyperlink- +91-7827961165)

  • Dispatch Cutoff: Address update requests submitted after the order has left our fulfillment center or sent via email cannot be guaranteed or executed.

SECTION 8 – ERRORS, INACCURACIES, AND OMISSIONS

Occasionally, information on our site may contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, shipping charges, transit times, or availability.

  • We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the site is inaccurate at any time without prior notice (including after you have submitted your order).

SECTION 9 – THIRD-PARTY TOOLS & META INTEGRATION

  • Third-Party Tools: We may provide access to third-party tools or integrations (such as Meta Instagram and WhatsApp communication channels) over which we neither monitor nor have any control.

  • Third-Party Links: External links on this site may direct you to third-party websites. We are not responsible for examining or evaluating the content or accuracy of third-party materials or websites.

SECTION 10 – USER COMMENTS, FEEDBACK & REVIEWS

If you send us feedback, product reviews, or creative ideas (whether online, by email, or via WhatsApp), you grant AMORAKI an unrestricted, royalty-free license to edit, copy, publish, and distribute those materials in any medium for marketing and promotional purposes.

SECTION 11 – PROHIBITED USES

You are prohibited from using the site or its content:

  1. For any unlawful purpose or to solicit others to perform unlawful acts;

  2. To violate any international, national, or state regulations, rules, or laws;

  3. To infringe upon or violate our intellectual property rights or those of others;

  4. To upload or transmit viruses, spyware, or malicious code;

  5. To collect or track the personal information of others or engage in scraping or spamming.

SECTION 12 - INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by AMORAKI, its affiliates or licensors and are protected by the laws of India, including the Copyright Act, 1957, the Trade Marks Act, 1999, the Designs Act, 2000, and other applicable intellectual property laws. 

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of AMORAKI, Shopify or any third party. Unauthorized use of the Services may be a violation of federal and state intellectual property laws. All rights not expressly granted herein are reserved by AMORAKI.

AMORAKI’s  names, logos, product and service names, designs, and slogans are trademarks of AMORAKI or its affiliates or licensors. You must not use such trademarks without the prior written permission of AMORAKI. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners. 

SECTION 13 - RELATIONSHIP WITH SHOPIFY

AMORAKI’s owned ‘Moments by Amoraki’ store is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with AMORAKI. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and AMORAKI, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with AMORAKI.


SECTION 14 – DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

  • We do not guarantee that your use of our service will be uninterrupted, timely, secure, or error-free.

  • All products and services delivered to you through the store are provided 'as is' and 'as available' for your use, without any representation, warranties, or conditions of any kind, express or implied.

  • TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL AMORAKI, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY. 

SECTION 15 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless AMORAKI, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.

We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of indemnified claims, including by providing relevant documents.


SECTION 16 - TERMINATION

We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

SECTION 17 – GOVERNING LAW & JURISDICTION

These Terms of Service and any separate agreements shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the competent courts in Gautam Buddha Nagar (Noida) / Delhi NCR, India.
